Improving the Outside Counsel Management Framework and Maturity Model

Although outside counsel management is vital to legal operations, clear definitions and structured frameworks are rare. To bridge this gap, Brightflag’s Anna Richards introduces a seven-component framework and maturity model designed to help legal teams build a structured, data-driven, and collaborative program.
The lack of a shared definition of outside counsel management has led many legal departments to focus on isolated activities such as invoice review, rate negotiations, or vendor oversight rather than developing a coordinated program. Richards suggests that organizations have an opportunity to approach outside counsel management as a strategic capability, including the processes, systems, and strategies used to select, manage, and evaluate external legal providers.
To support this objective, the framework identifies seven interconnected components: right-sourcing, vendor management, matter management, budgeting and forecasting, billing guidelines and compliance, fee arrangement strategy, and performance evaluation. Each component reinforces another, creating a continuous cycle of better decision making.
Richards also introduces an assessment model that classifies the framework components into early, intermediate, or advanced stages. Legal ops teams are encouraged to identify their current stage, select a significant firm, and focus on the most important process. Effective starting points are establishing visibility into legal spend, documenting billing guidelines, and conducting performance reviews. The team should then follow the maturity model to move to the next level.
Advances in centralized data management and artificial intelligence have reduced many of the operational barriers that previously limited outside counsel management. With more complete visibility into matters, vendors, budgets, and performance, legal departments can shift their attention from collecting information to making better strategic decisions.
By adopting a structured outside counsel management framework and maturity model, legal ops teams can strengthen resource allocation, improve financial oversight, and transform outside counsel management into a function that delivers measurable business value.
