Delaware Forum Decision Good for Companies and Shareholders Too

The Boilermakers decision, decided in June by the Delaware Chancery Court, has been widely viewed as a win for companies in that it upholds the right of companies in their bylaws to specify that shareholder lawsuits be brought in Delaware. It was a victory, says Snell & Wilmer attorney John S. Delikanakis, but in-house counsel need look carefully at this decision and keep in mind what else it said, and did not say.
