Under increasingly targeted investigations by the Justice Department and the SEC, it’s only a matter of time before the field of potential defendants extends to the board, writes attorney Michael Volkov. With the government in corruption investigations using tactics typically used against organized crime, including undercover officers and informants, board members need to be clear about the potential for the board, and even individual board members, to be found liable for civil or criminal charges.
