Should Your Board Adopt A Forum Selection Provision?

The bylaws of more than 200 corporations included forum selection provisions, but the trend came to a halt when they were challenged at FedEx and Chevron. Now that the Delaware Chancery Court has upheld these provisions, should boards at eligible companies necessarily adopt them? What factors should be considered?
